These Terms of Service (the “Terms”) govern your access to and use of the Vortex Finance website, online services, and related services and communications (collectively, the “Services”).
The Services are operated by Vortex Capital Group Inc., doing business as Vortex Finance (“Vortex,” “we,” “us,” or “our”).
By accessing or using our website or Services, you acknowledge that you have read and understood these Terms. If you do not agree with these Terms, you should discontinue using the website.
These Terms apply in addition to any separate agreement you enter into with Vortex, including mortgage loan agreements, mortgage security documents, pre-authorized debit authorizations, investor agreements, and other transaction-specific documents.
Where these Terms conflict with a signed agreement governing a particular transaction, the signed agreement will prevail to the extent of the conflict, subject to applicable law.
Vortex provides private mortgage financing services, primarily secured by immovable property located in Quebec. Our Services may include:
The availability and scope of our Services may change from time to time.
Information published on this website is provided for general informational purposes only. Nothing on this website constitutes a binding offer to lend, a commitment to provide financing, a guarantee of approval, or a promise that any particular financing structure will be available.
All financing requests are subject to review, due diligence, internal approval, availability of funds, applicable legal and regulatory requirements, and execution of the definitive transaction documents.
Any indicative interest rate, loan amount, loan-to-value ratio, fee, term, payment amount, or financing scenario is preliminary unless expressly confirmed in a binding written agreement.
Vortex reserves the right to decline a financing request, request additional information, propose different terms, or discontinue consideration of an application, subject to applicable law and any binding obligations already assumed.
By using our website or submitting information through our Services, you represent that:
You agree not to submit fraudulent documents, impersonate another person, misrepresent ownership or financial information, interfere with the operation or security of our website, or use our Services to engage in unlawful activity.
Vortex may request supporting documentation, including identification, proof of income, property information, mortgage statements, tax balances, corporate records, and other information reasonably required to assess a transaction or comply with applicable legal and regulatory obligations.
Submitting an application does not create a lender-borrower relationship or oblige Vortex to provide financing.
Vortex may review the information you submit for the purposes disclosed to you and take steps reasonably necessary to evaluate your request, subject to applicable privacy laws and any required consent.
Depending on the transaction, the underwriting process may include:
Any financing approval may be conditional upon satisfactory due diligence, confirmation of title and security, payment or resolution of specified debts, registration of mortgage security, receipt of required legal documents, and satisfaction of other closing conditions.
No funds will be advanced unless the applicable closing conditions have been satisfied or waived in writing by the party entitled to waive them.
Interest rates, lender or brokerage fees, administration charges, legal costs, loan terms, repayment schedules, renewal conditions, prepayment provisions, holdbacks, and other transaction-specific terms will be disclosed in the applicable written offer, loan agreement, disclosure documents, or other definitive documentation.
The terms of each transaction may differ depending on the borrower's circumstances, the property, the proposed security, and the structure of the financing.
Unless expressly stated otherwise in a binding agreement, website content does not establish the interest rate, fees, payment schedule, or other terms applicable to a particular loan.
Borrowers are responsible for reviewing all applicable documents before signing and should obtain independent legal, financial, or tax advice where appropriate.
Any fees or charges imposed by Vortex must be consistent with the applicable agreements and applicable law.
Borrowers must make payments in accordance with their signed loan agreements and other applicable transaction documents.
Payment amounts, due dates, payment frequency, interest calculations, repayment obligations, and any applicable charges are determined by the relevant agreements and applicable law.
Borrowers remain responsible for ensuring that payments are made when due, regardless of whether an automatic payment is successfully processed.
Vortex may offer pre-authorized debits (“PADs”) or other electronic payment methods for collecting amounts owing under a loan agreement.
Where PADs are used, borrowers must execute the applicable PAD authorization before withdrawals are initiated. The separate PAD agreement governs the authorization, designated bank account, payment amount or method of determining the amount, payment timing and frequency, cancellation procedures, and other applicable requirements.
These Terms of Service do not, by themselves, authorize Vortex to withdraw funds from any bank account.
PAD transactions will be processed in accordance with the applicable authorization, relevant payment-system rules, and applicable law.
Borrowers are responsible for maintaining sufficient funds in the designated account and ensuring that their banking information is accurate and current.
Borrowers should promptly notify Vortex of changes to their banking information that may affect scheduled payments.
Payments may be delayed, declined, or returned because of insufficient funds, incorrect account information, account restrictions, banking-system interruptions, or other circumstances outside Vortex's reasonable control.
A processing delay or unsuccessful debit does not, by itself, discharge or postpone a payment obligation under the applicable loan agreement.
A returned or unsuccessful payment may result in charges imposed by the borrower's financial institution and, where permitted by applicable law and expressly authorized by the relevant agreement, additional charges under the applicable loan documents.
Any fee charged by Vortex must be supported by the applicable agreement and comply with applicable law. These Terms do not independently establish a specific NSF or returned-payment fee.
Borrowers may cancel their PAD authorization by providing notice in accordance with the applicable PAD agreement and payment-system rules.
Information regarding cancellation procedures and applicable notice requirements is set out in the separate PAD authorization.
Cancelling a PAD authorization changes the payment method only. It does not cancel the loan agreement, eliminate an outstanding balance, waive accrued interest, or excuse a missed payment.
Following cancellation, borrowers remain responsible for arranging an alternative payment method and satisfying all amounts due under their loan documents.
Borrowers who believe that a debit was unauthorized or processed incorrectly should promptly contact Vortex and their financial institution. Any applicable recourse rights will be governed by the relevant payment-system rules and applicable law.
A borrower's rights and obligations following a missed payment, default, breach of covenant, or other event of default are governed by the applicable loan agreement, registered security documents, and applicable law.
Depending on the circumstances and subject to applicable legal requirements, available remedies may include charging contractually permitted amounts, demanding payment, exercising rights under registered security, commencing legal proceedings, or pursuing other remedies available to the lender.
Nothing in these Terms creates an additional event of default or grants Vortex a remedy that it does not otherwise have under the applicable agreements or law.
Vortex does not guarantee any particular outcome in a collection, enforcement, foreclosure, or other recovery proceeding.

You are responsible for obtaining independent professional advice where appropriate before entering into a transaction.
Nothing in this section excludes any statutory rights or remedies that cannot lawfully be excluded or limited.

Any investment opportunity made available through Vortex will be subject to the applicable transaction documents, eligibility requirements, risk disclosures, and securities laws and other legal requirements governing the offering.
Private mortgage investments involve risks, including borrower default, delayed repayments, declining property values, difficulties enforcing security, legal expenses, illiquidity, and potential loss of some or all invested capital.
A mortgage or other security interest does not eliminate investment risk or guarantee full recovery.
Prospective investors should independently assess each opportunity and obtain their own legal, financial, and tax advice. No investment should be made solely on the basis of information published on this website.
Nothing in this section excludes or limits any obligation or liability that cannot lawfully be excluded or limited.

We may restrict or suspend access where reasonably necessary to protect the website, our users, or our legitimate interests, subject to applicable law.

Personal information will be handled in accordance with applicable privacy legislation, including Quebec's Act respecting the protection of personal information in the private sector, as applicable, and our Privacy Policy.
Our Privacy Policy explains how personal information is collected, used, disclosed, retained, and protected, as well as the rights available to individuals under applicable law.

To the extent permitted by applicable law, the website and its general informational content are provided on an “as is” and “as available” basis.
We do not guarantee uninterrupted access, continuous availability, error-free operation, or compatibility with every device or software environment.
We may temporarily suspend or modify the website for maintenance, security, operational, or other legitimate reasons.
To the extent permitted by applicable law, Vortex will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from your access to or use of the website, including losses resulting from temporary unavailability, technical interruptions, or reliance on general website information.
Nothing in these Terms excludes or limits liability for fraud, intentional or gross fault, obligations that cannot lawfully be excluded, or any other liability that applicable law prohibits us from excluding or limiting.
Nothing in these Terms limits any rights or remedies available to a consumer or other protected person under mandatory applicable law.
This section concerns the website and Services governed by these Terms. It does not replace or modify the rights and obligations expressly established in a separate signed loan agreement or other transaction document.
We may update these Terms from time to time to reflect changes to our Services, business operations, legal obligations, or website functionality.
The revised Terms will be posted on our website with an updated revision date. Where required by applicable law, we will provide notice or obtain consent before changes take effect.
Unless otherwise required by law or expressly agreed in writing, changes to these Terms do not retroactively modify an existing signed loan agreement or other binding transaction document.
We may discontinue or modify website features or restrict access to the website, subject to applicable law and any existing contractual obligations.

These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada.
Subject to mandatory legal provisions governing jurisdiction, disputes arising from these Terms will be submitted to the competent courts of Quebec.
Nothing in this section limits a party's right to bring proceedings before another court where required or permitted by applicable law, including mandatory consumer-protection rules.
If any provision of these Terms is found to be invalid, unenforceable, or contrary to applicable law, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to apply to the extent legally permissible.
A failure or delay by Vortex in exercising a right under these Terms does not constitute a waiver of that right.
These Terms govern your use of the website and the Services described herein.
They do not replace any separate written agreement governing a mortgage loan, investment, payment authorization, or other specific transaction. Those agreements remain subject to their own terms and applicable law.
Where appropriate, these Terms should be read together with Vortex's Privacy Policy and any applicable disclosures, agreements, and notices.
